Our Client is a well known market leader who is currently looking for a very senior Corporate Secretary with 15+ years experience to join their esteemed team. They have a large corporate secretarial team and would need to manage more junior team members. This is an amazing opportunity for someone to take the next step in their career.
The ideal candidate will be an ICSA member with strong Listed company experience (at least 10+years) and have worked on connected and notifiable transactions. They should be capable of facilitating the board process and communications among management, business units and corporate functions, as well as organizing and attending board/management committees of the listed groups and minutes-taking.
The candidate will be responsible for:
- assisting the Group General Counsel & Company Secretary and advising on all governance matters,
- facilitating communications with shareholders through a variety of means, including annual general meetings, circulars and annual/interim reports;
- Organizing and attending board meetings of group subsidiaries and joint venture companies and minutes-taking;
- Overseeing the day to day operational management of company secretarial services and team leadership of the two Corporate Secretariat Teams, including
(a) Review of Board agenda, papers and reports for meetings;
(b) Coordinate among the listed group and its subsidiaries for Listing Rules compliance and project work from time to time as necessary, including connected transaction/continuing connected transaction monitoring, notifiable transaction, SDI filings, annual and interim report preparation, announcement and circular.
Chinese language skills (reading and writing) Cantonese and Mandarin are a prerequisite for this role.
